**COAdyCODE QUICKBOOKS APP END USER LICENSE AGREEMENT**

This End User License Agreement (“EULA”) is entered into by and between [Coadycode Ltd.] (“Company”), with its principal place of business at [address], and the individual or entity using the QuickBooks App on Coadycode.co.uk (the “User”).

**1. ACCEPTANCE OF TERMS**

By installing, accessing, or using the QuickBooks App on Coadycode.co.uk, the User accepts this EULA and agrees to be bound by its terms.

**2. GRANT OF LICENSE**

The Company grants to the User a non-exclusive, non-transferable license to use the QuickBooks App on Coadycode.co.uk for [specify the type of license, e.g., “personal” or “business”] purposes.

**3. USE OF QUICKBOOKS APP**

The User may only use the QuickBooks App on Coadycode.co.uk in accordance with this EULA and any additional terms and conditions provided by Intuit Inc. (“Intuit”) for the QuickBooks App, as applicable.

**4. RESTRICTIONS ON USE**

The User shall not:

* Reverse engineer or disassemble the QuickBooks App;

* Modify, adapt, or create derivative works of the QuickBooks App;

* Distribute, sublicense, or rent the QuickBooks App to any third party;

* Use the QuickBooks App for commercial purposes without prior written permission from Intuit;

* Remove or alter any copyright, trademark, or other proprietary notices from the QuickBooks App.

**5. INTELLECTUAL PROPERTY**

The Company retains all intellectual property rights in and to the QuickBooks App, including but not limited to patents, trademarks, copyrights, and trade secrets.

**6. CONFIDENTIALITY**

The User agrees to keep confidential any information disclosed by the Company or Intuit regarding the QuickBooks App, and shall not disclose such information to any third party without prior written consent from the relevant party.

**7. SUPPORT AND MAINTENANCE**

The Company is under no obligation to provide support or maintenance for the QuickBooks App. However, if provided, the Company’s obligations with respect to support and maintenance shall be limited to those specified in the documentation provided by Coadycode.co.uk.

**8. TERMINATION**

If the User breaches any term of this EULA, the Company may terminate this EULA immediately without notice or liability. Upon termination, the User must immediately uninstall the QuickBooks App on Coadycode.co.uk and cease using it.

**9. LIMITATION OF LIABILITY**

In no event shall the Company be liable for any indirect, special, punitive, incidental, or consequential damages arising out of or related to this EULA, even if the Company has been advised of such damages in advance.

**10. GOVERNING LAW**

This EULA shall be governed by and construed in accordance with the laws of [England and Wales] (or as otherwise specified by Coadycode.co.uk). Any disputes arising from this EULA shall be resolved through binding arbitration, following the rules of the Arbitration Act 1996.

**11. ENTIRE AGREEMENT**

This EULA constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, understandings, and agreements between the parties.

By using the QuickBooks App on Coadycode.co.uk, the User acknowledges that it has read, understands, and agrees to be bound by this EULA.
