Domain Transfer Agreement

This Domain Transfer Agreement (“Agreement”) is made and entered into on 16th June 2024 (“Effective Date”) by and between:

Recitals:

Whereas, the Owner holds the registration rights to the domain name “coadycode.co.uk” (the “Domain Name”);

Whereas, the Buyer desires to purchase the registration rights to the Domain Name from the Owner;

Whereas, the Owner agrees to transfer the registration rights to the Domain Name to the Buyer for a consideration of £10;

Agreement:

1. Transfer of Domain Name

1.1 The Owner agrees to transfer to the Buyer all of its rights, title, and interest in and to the Domain Name “coadycode.co.uk”.

1.2 The Owner shall initiate and complete the domain name transfer process within five (5) business days from the Effective Date.

2. Consideration

2.1 In consideration for the transfer of the Domain Name, the Buyer agrees to pay the Owner the sum of £10 (“Consideration”).

2.2 The Consideration shall be paid by the Buyer to the Owner within one (1) business day from the Effective Date.

3. Removal of Personal Information

3.1 The Owner agrees that all personal information relating to R A Coady will be removed from the domain registration records before the transfer of ownership is completed.

4. Representations and Warranties

4.1 The Owner represents and warrants that it is the sole registrant of the Domain Name and has the authority to transfer the Domain Name to the Buyer.

4.2 The Domain Name is free from any encumbrances, liens, or disputes that would prevent the transfer to the Buyer.

4.3 The Buyer represents and warrants that it has the legal capacity to enter into this Agreement and perform its obligations under this Agreement.

5. Indemnification

5.1 The Owner agrees to indemnify and hold the Buyer harmless from any and all claims, damages, liabilities, and expenses arising out of any breach of the Owner’s representations and warranties.

5.2 The Buyer agrees to indemnify and hold the Owner harmless from any and all claims, damages, liabilities, and expenses arising out of any use of the Domain Name by the Buyer after the transfer.

6. Governing Law

6.1 This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

7. Miscellaneous

7.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, both written and oral, between the parties with respect to such subject matter.

7.2 Any amendments or modifications to this Agreement must be in writing and signed by both parties.

7.3 This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
